Course Description and goals

This course focuses mainly on business strategy, examining issues central to its long and short-term competitive position. We will explore a variety of conceptual frameworks and models to analyse and gain insight about how to achieve or sustain competitive advantage.

The journey starts by analysing the external environments influence on a firm’s performance and subsequently analysing the impact of the internal context (resources and capabilities) on firm performance.

After covering both the external and internal perspectives, we bring these concepts together to discuss firm level competitive advantage.

The first part of the course focuses on single business or business unit strategy while the second part of the course explore corporate

Curriculum
Full Professor of Financial Management and Accounting at USI since 2003, Eric Nowak studied at the Universities of St Gallen and Bocconi in Milan and completed his PhD at the University of St Gallen in 1997 after a research period at the University of Chicago with a fellowship of the National Science Foundation.

Subsequently, he was assistant professor of finance at Goethe University Frankfurt, where he received his venia legendi in 2002. Eric Nowak was visiting professor at the Universities of Hohenheim, COPPEAD Rio de Janeiro, CEIBS Shanghai, and Witten/Herdecke, a fellow of the Center for Financial Studies (CFS), and an affiliate member of the Swiss Finance Institute (SFI).

He has published in the top journals of fields as diverse as finance, entrepreneurship, and business history, among them the Journal of Finance,the Journal of Business Venturing, and Business History.

He was the national coordinator for the European Research Network ‘Regional Comparative Advantage and Knowledge Based Entrepreneurship’. During his sabbatical academic year 2010-11 he was the Rock Center for Corporate Governance Visiting Scholar at Stanford University.

Course Description and goals

This course teaches the logic underlying the firm’s financial decisions: investment, financing, and payout policies. The main themes will be:

  • What is corporate finance?
  • The concept of value
  • The discounted cash-flow (DCF) method in theory and practice
  • Capital budgeting decisions
  • Market efficiency and financial policy
  • Financial structure and the Modigliani-Miller theorem
  • Payout policies: dividends and share repurchases.

This presentation will give an overview of VF Corporation’s business and explain how the Sustainability & Responsibility (S&R) strategy is integrated at its core. We will go through some real-life examples of the benefits that S&R brings to the business with a specific focus on the programs carried out in the region Europe, Middle East & Africa (EMEA).

Anna Maria Rugarli is Director Sustainability and Corporate Social Responsibility at VF for EMEA region. She is responsible for developing and implementing the Sustainability and CSR corporate strategy in the Region.

She joined VF in December 2010 and holds a strong track record of successfully creating Sustainability and Corporate Social Responsibility programs at Nike, a global leader in the field, where she worked for 11 years holding a variety of positions within the Sustainable Innovation team.

In July 2015, Anna Maria has been appointed as President of the European Outdoor Conservation Association (EOCA) whose mission is to support valuable conservation work by raising funds from within the European Outdoor sector and promoting care and respect for wild places.

Mr. Gianemilio Osculati is Head-Wealth Management Operations at Intesa Sanpaolo SpA, a Member at Ordine dei Farmacisti delle Milano, Lodi, Monza e Brianza, Chairman at Intesa Sanpaolo Assicura SpA, Chairman & Chief Executive Officer at Eurizonvita SpA, Deputy Director at Intesa Sanpaolo Previdenza Societe di Intermediazione and a Member of Ragioneria Generale dello Stato.

He is on the Board of Directors at Italmobiliare SpA and Ariston Thermo SpA. Mr. Osculati was previously employed as an Independent Director by Société Générale SA, a Managing Director by McKinsey & Co., Inc. (Italy), Chief Executive Officer by Banca d’Italia, Chief Executive Officer by Bank of America, NA (Milan Branch), an Independent Director by Gas Plus SpA, a Managing Director by Intesa Sanpaolo Vita SpA, Chairman & Owner by Osculati & Partners SpA, and Chairman by Valore SpA.

He also served on the board at Banca Fideuram SpA, Gas Plus, Inc., Intesa Sanpaolo Life Ltd., Miroglio SpA and MTS Group (Italy).

We will analyze the role of Schmid Spa in the fashion industry, the reasons for the turnaround (2009-2013), the new business plan and its drivers, focusing on the main issues: people and culture.

Mr. Ciccarelli will describe also the changing process and give some insights about the future steps.

Keynote Speaker is Paolo Ciccarelli, SCHMID SpA Milano,Chairman & CEO. In 1994 he became the Head of Administration, Finance and Control of “Consiglio di Borsa”, working on the privatization of the “Consiglio” and the constitution of Borsa Italiana S.p.A. February 1997.

In Borsa Italiana Group he was Director of Administration of the MIF S.p.A. and of the Clearing and Guarantee S.p.A. During the acquisition of the Borsa Italiana by the London Stock Exchange he was the Group CFO, Managing Director of BIt Systems S.p.A. and Securities Services S.p.A., Member of the Supervisory Board of MTS S.p.A. and Chairman of its Audit Committee.

Director of Finance of the London Stock Exchange until 2008, from 2008 to 2010 he was Chief Financial Officer of Barclays in Italy and President of Barclays Family S.p.A. Self-employed since 2011 ( www.studio-ciccarelli.it ), with the role of CEO has successfully completed some turn around in Bakery and Fashion sectors. He also followed a start-up in the Energy sector and has recently concluded an assignment of Temporary management for a private bank in Milan.

He is currently Chairman & CEO of Schmid S.p.A. (Fabrics and accessories for high fashion footwear) and non-executive director of Almaviva – The Innovation Company SpA , Lombardia Srl Management and member of the SB Metroweb Sviluppo SpA.
He is part of the pannel of Gerson Lehrman Group for Banking and Financial sector.

In the academic year 2012/2013 he has been holder of the Chair of Economics at the Faculty of Engineering of the Polytechnic of Turin and author of articles published in specialized magazines.

Filippo was appointed Professor of Organization theory at the Faculty of Economics in September 2009. He is also Permanent Visiting Professor at EM Lyon (France) and Senior Extra-mural Fellow of CentER (Netherlands). With a PhD in Management from the University of Bologna, he previously held appointments at the University of Groningen (post-doc) and at Tilburg University (assistant and, then, associate professor). He acquired further academic experience as visiting researcher/professor at the Wharton Business School (University of Pennsylvania, USA), at the Hong Kong University of Science and Technology (HKUST) and at Lille I (France).

His teaching interests include organizational theory and organizational behavior, which he has taught at the undergraduate, master, PhD and executive levels. His research focuses on organizational diversity, inter-firm mobility, and industry emergence. He won the Credit Swiss teaching award in 2008.

HUMAN RESOURCES MANAGEMENT – course description

“HR should be every company’s “killer app.” What could possibly be more important than who gets hired, developed, promoted, or moved out the door? Business is a game, and as with all games, the team that puts the best people on the field and gets them playing together wins. It’s that simple.” (Jack Welch, Business Week, 2006)

The course focuses on the management of human capital, which in today’s economy appear as essential for the success of a company as much as an effective production systems or a well-designed marketing strategy. Indeed many managers now recognize that a critical source of competitive advantage comes having an effective system for obtaining, mobilizing, and managing the organization’s human assets.

The purpose of the course is not to get into the technical detail of issues such as the psychometric of test validation, the specifics of doing job evaluations, the mechanics of interviewing – issues well covered by many human resource professionals. Rather, the course adopts the perspective of the general manager and addresses human resource topics from a more strategic perspective – i.e., as a source of competitive advantage.

The flow of the course follows a macro-to-micro approach. In the first block we will discuss the overarching framework of the course and we will deal with motivation, job design and compensation. In the second block, the ways to improve recruiting, reducing the outflows of personnel within an organization and properly manage retention will be discussed.

Laura Zoni
Professor of Accounting and Control

Ph.D. in Accountancy, Bocconi University. She he is currently Full Professor at Università Cattolica del Sacro Cuore. Senior Professor at SDA Bocconi, and MISB Bocconi. She has been Associate Visiting Professor at STERN School of Business, New York University (1995-1998 and 2008-2012) and at INSEAD, Fontainebleau (1999-2000).

Sometimes consultant to the United Nation Development Program and the European Union for management training projects in Eastern Europe, Russia, Kirghizstan and Kazakhstan. She has been consulting to the industry on performance measurement systems design and implementation.

Research interests include the role of CFO, innovation and control, management of change and accounting change, role of performance measurement systems and international development, CEO compensation and incentives. Independent Board Member of Yoox Net-a-Porter since 2015.

Course Description and goals

This course provides the necessary information and tools to understand accounting principles and methodologies. Successful completion of this course will result in the ability to read and meaningfully interpret financial statements that are prepared and disseminated by business entities as well as rationally structure accounting information to inform and support managerial decision-making.

In terms of skill objectives the participant will gain:

  • Command of “language of accounting”
  • Awareness about the strengths and limitations of financial accounting systems
  • Knowledge about implications of alternative accounting principles and methodologies
  • Ability to examine financial accounting information
  • Expertise in cost accounting system design
  • Ability to prepare accounting information to support managerial decision (capacity allocation, pricing decision, make or buy etc.)
